The Spanish government faces protracted litigation from General Dynamics European Land Systems regarding the artillery contract award. To mitigate these legal risks, Madrid intends to offer a new Leopard 2 contract to GDELS's local subsidiary, Santa Barbara Sistemas.
According to Articulo14, the tank order will be managed by Tess Defence, a joint venture involving Indra and Santa Barbara Sistemas. Although Santa Barbara Sistemas holds only a 16% stake in the JV, the company is expected to secure the majority of the profit share, as its proprietary technologies will play a critical role in the project.

Reports remain conflicted regarding the scope of the project, with some sources citing the production of new Leopard 2 units, while others suggest a modernization program for the existing Leopard 2E fleet. Procurement of new-build platforms would require authorization from the German OEM, KNDS Germany. Concurrently, Spain continues its independent pursuit of a next-generation tank platform.
Defense Express notes that this move represents a strategic attempt to satisfy General Dynamics without amending the standing artillery contracts. The recently formed JVs between Indra and EM&E (Escribano Mechanical & Engineering) secured orders for 128 tracked SPHs €4.55 billion and 86 wheeled SPHs €2.68 billion, despite lacking established indigenous designs.

These developments provoked a sharp response from General Dynamics, which initially filed a legal challenge regarding the financing terms provided for the order. Within days, the company launched a second lawsuit directly contesting the award of the contract to its competitors.
It remains uncertain whether this strategy will successfully mollify the U.S. corporation’s European division. The outcome will likely depend on the total value of the potential agreement, although the artillery dispute may remain a matter of principle for General Dynamics.

Historically, Santa Barbara Sistemas managed the localization of the German Leopard 2A6, designated as the Leopard 2E in Spanish service. Compared to the base model, the Leopard 2E features enhanced armor protection, indigenous fire control systems (FCS), localized communication suites, and a different Auxiliary Power Unit (APU).
Consequently, the company remains the logical choice for both modernization and potential new production. However, the structured increase in Santa Barbara Sistemas' profit share within the Tess Defence JV underscores a clear effort to resolve the ongoing industrial conflict.
